Important Notice
PLEASE READ THIS TERMS OF SERVICE AGREEMENT CAREFULLY. By accessing or using the Service, you agree to be bound by the terms and conditions described herein and all terms incorporated by reference. If you do not agree to all of these terms, do not use the Service.
This Terms of Service ("Terms") is a legal agreement between you ("User," "you," or "your") and AVANTVUE LLC ("DataVue," "we," "us," or "our") that governs your use of the DataVue platform, including our website, software, and services (collectively, the "Service").
Acceptance of Terms
By creating an account, accessing the Service, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
The Service
DataVue provides a secure, all-in-one platform for professionals to upload, manage, share, and track documents within designated "Secure Spaces." The Service includes features such as access control, document analytics, custom branding, and AI-powered analysis.
Accounts & Registration
You must be at least 18 years of age to use the Service. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Subscription Plans & Billing
Plans
DataVue offers several subscription plans ("Plans"), including a free "Launchpad" plan and various paid plans such as "Founder," "Business (Pro)," and "Enterprise." Each Plan includes specific limits on features like storage and the number of Secure Spaces, as detailed on our Pricing Page.
Billing Cycles
Paid Plans are billed on a recurring basis, either monthly or yearly ("Billing Cycle"), as selected by you at the time of purchase.
Auto-Renewal
All paid Plans will automatically renew at the end of each Billing Cycle. You authorize us to charge your selected payment method for the renewal term unless you cancel your subscription through your account settings prior to the end of the current Billing Cycle.
Free Trials
We may offer a free trial for a specific period. At the end of the trial period, your paid subscription will automatically begin, and your payment method will be charged unless you cancel prior to the end of the trial.
Hybrid Billing & Usage Add-Ons
Your Plan may include a certain allowance for features like data storage ("Extra Storage") or AI analysis queries ("AI Analytics Packs"). If your usage exceeds these allowances, you will be automatically billed for the overage on a pay-as-you-go basis at the rates specified on our Pricing Page. You authorize us to charge your payment method for these usage-based fees.
Price Changes
We reserve the right to change the prices for our Plans at any time. We will provide you with reasonable prior notice of any price changes. Your continued use of the Service after a price change constitutes your agreement to pay the new price.
Promotional Programs
Startup Program
We may offer discounts on annual Plans to eligible startups. Eligibility is determined by us in our sole discretion, based on factors such as your company's funding stage. The terms of any such discount, including its duration and a "graduation path" to subsequent pricing tiers, will be specified at the time of the offer. Discounts apply only to the annual subscription fee and not to usage-based add-ons.
Referral Program
Referrers:
If you refer a new customer who signs up for a paid Plan, you will receive an account credit ("Referral Credit") in the amount specified in our Referral Program. Referral Credits can be used for any DataVue service. A cash-out option may be available, subject to a minimum balance threshold as defined in the program.
New Users:
New users who sign up with a valid referral link may be eligible for a promotional offer, such as an initial account credit or a percentage discount on their first few months of service.
User Content & Responsibilities
Your Content
You retain all ownership rights to the files and content you upload to the Service ("User Content"). We do not claim any ownership of your User Content.
Your Responsibility
You are solely responsible for your User Content and the consequences of sharing it. You represent and warrant that you have all necessary rights and permissions to use and share your User Content.
Acceptable Use
You agree not to use the Service to upload, store, or share any content that:
- Is illegal, fraudulent, or harmful.
- Infringes on the intellectual property rights of others.
- Contains viruses, malware, or other malicious code.
We reserve the right to suspend or terminate accounts that violate this policy.
AI Features & Disclaimer
Our Service includes an "AI Investor Memo" and other analysis features ("AI Features"). These features use artificial intelligence to analyze your User Content and provide suggestions.
Disclaimer
The output generated by the AI Features is for informational purposes only. It does not constitute financial, legal, or business advice. You are solely responsible for reviewing, validating, and using any output from the AI Features. We make no warranties about the accuracy, completeness, or suitability of the AI-generated content.
Intellectual Property
The Service, including the DataVue software, website, logo, and brand, are and will remain the exclusive proprietary property of AVANTVUE LLC. This agreement does not grant you any right or license to use our intellectual property except for the right to access and use the Service as permitted by these Terms.
Termination
You may cancel your subscription and terminate your account at any time through your account settings. We may suspend or terminate your access to the Service at any time, with or without cause, if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
Warranty Disclaimer & Limitation of Liability
"AS IS" Service
THE SERVICE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.
Limitation of Liability
IN NO EVENT SHALL AVANTVUE LLC OR ITS SUPPLIERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
General Provisions
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Kentucky, without regard to its conflict of law principles.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes. Your continued use of the Service after such notice constitutes your acceptance of the new Terms.
